PokerUs Terms of ServiceTerms of Service for the PokerUs service provided by A2K Interactive, Inc.

ⓘ This is an English translation provided for convenience. The original Korean-language Terms of Service is the governing version; where the translation and the Korean original differ, the Korean original controls (see Article 30).

Chapter 1

General Provisions

01

Article 1 (Purpose)

These Terms of Service (these "Terms") set forth the rights, obligations, and responsibilities of A2K Interactive, Inc. (the "Company") and its Members with respect to the use of the PokerUs service provided by the Company (the "Service"), together with other matters necessary for that purpose.

02

Article 2 (Definitions)

  1. "Service" means the PokerUs game and all related services provided by the Company to Members, regardless of the device through which it is accessed (including PCs, TVs, handheld devices, and other wired or wireless devices of any kind).
  2. "Member" means a person of at least 19 years of age who has agreed to these Terms and entered into a service use agreement with the Company.
  3. "ID" means the combination of letters and/or numbers that a Member sets, and the Company approves, to identify the Member and enable use of the Service.
  4. "Game Chips" means virtual numerical information (in units set by the Company) used to play the Service, which a Member may obtain by:
    1. (a) purchasing it in the in-Service shop using Diamonds held by the Member;
    2. (b) receiving a free grant upon satisfying conditions set by the Company, such as a rank-up, daily check-in, or event participation; or
    3. (c) increases and decreases resulting from gameplay.
    Game Chips may not be exchanged or redeemed for cash or any cash equivalent, may not be transferred, sold, or assigned between Members, and under no circumstances may be converted back into Diamonds or refunded.
  5. "Paid Item" means paid content — such as Diamonds — that a Member purchases for actual consideration from the Company or from the seller identified in Article 19(5), including decorative items such as avatars that are sold with a fixed validity period ("Time-Limited Items"). Diamonds are a digital-content entitlement usable only within the Service; they are not currency, securities, electronic money, or a prepaid payment instrument, have no cash value, and cannot be exchanged for cash or goods.
03

Article 3 (Disclosure of Company Information)

The Company shall post the following information on the Service's initial screen or a linked screen so that Members may readily access it.

  1. Trade name and the representative's name
  2. Address of the place of business
  3. Telephone number and e-mail address
  4. Business registration number and mail order sales registration number
  5. The content of these Terms
04

Article 4 (Posting, Effect, and Amendment of These Terms)

  1. These Terms take effect with respect to every Member who intends to use the Service.
  2. The Company may amend these Terms to the extent it does not violate applicable law. Where it does so, the Company will specify the effective date and reason for the amendment and announce them through in-Service notices no later than 7 days before the effective date (30 days before, for changes that are disadvantageous or material to Members).
  3. A Member who does not agree to the amended Terms may terminate the use agreement. A Member who continues to use the Service after the announced effective date is deemed to have agreed to the amended Terms.
05

Article 5 (Operating Policy)

The Company may set out, in an Operating Policy, matters delegated within a specific scope under these Terms or other details necessary for operating the Service, and will inform Members of such content through the Service's initial screen or notices. Where the Operating Policy conflicts with these Terms, these Terms prevail, and any matter that materially changes a Member's rights or obligations shall be amended following the procedure in Article 4, Paragraph 2.

06

Article 6 (Rules Outside These Terms)

Matters not provided for in these Terms are governed by the Game Industry Promotion Act, the Act on Consumer Protection in Electronic Commerce, the Content Industry Promotion Act, the Personal Information Protection Act, and other applicable laws, as well as the Company's Operating Policy and usage guides.

Chapter 2

Formation of the Use Agreement

07

Article 7 (Application for Use)

  1. A use agreement is formed when a user agrees to these Terms and the Privacy Policy and applies for membership by entering the required member information on the application form set by the Company.
  2. The Service is rated as unsuitable for minors under the Game Industry Promotion Act. Persons under 19 years of age may not register as a Member.
  3. For users residing in the Republic of Korea, the Company verifies real name and age through mobile phone identity verification or another method provided by an identity verification agency, and registration is restricted where the result shows the applicant is under 19 years of age.
  4. Users residing outside the Republic of Korea must enter their date of birth at registration and confirm that they are at least 18 years of age (or the age of majority in their country of residence, if higher). The Company may require additional age verification, such as government-ID verification, where it deems necessary. Registration and use of the Service are restricted where a user is below the applicable age or declines verification.
08

Article 8 (Acceptance and Restriction of Applications)

The Company will, in principle, accept an application under Article 7 unless doing so is impracticable for operational or technical reasons, but may withhold or refuse acceptance in any of the following cases.

  1. The application is not made under the applicant's real name, or uses another person's identity;
  2. The applicant does not meet the age requirement under Article 7(3) or 7(4);
  3. The applicant has provided false information or has not provided information required by the Company;
  4. The applicant is attempting to create multiple accounts, or is identified as the same person as a Member previously subject to a sanction (including a permanent suspension); or
  5. The applicant otherwise fails to meet requirements set by the Company for applications.
09

Article 9 (Changes to Member Information)

A Member may view and update their own information through the member information management screen, provided that certain information required for Service administration, such as the ID and identity-verification information, may not be modifiable.

10

Article 10 (Withdrawal and Loss of Membership)

  1. A Member may request termination of the use agreement (withdrawal) at any time through My Page, and the Company will process it promptly except where applicable law requires otherwise.
  2. Upon withdrawal, any Game Chips, freely granted content, Time-Limited Items, and game records held by the Member are extinguished and cannot be restored. Unused Diamonds purchased for value may be refunded under Article 22 if requested before withdrawal, and transaction records required to be kept under the Act on Consumer Protection in Electronic Commerce or other applicable law are separately retained for the period required by law.
  3. Where a Member falls under any of the following, the Company may, after prior notice, terminate the use agreement or restrict use of the Service for a set period.
    1. A violation of Article 13 (Prohibited Conduct);
    2. Use of the Service by improper means (an abnormal program, abusive conduct, account trading, etc.); or
    3. Use of the Service in a manner that violates applicable law relating to gambling activity.

Chapter 3

Obligations of the Parties

11

Article 11 (Obligations of the Company)

  1. The Company shall not engage in conduct prohibited by applicable law or these Terms, and will endeavor to provide the Service continuously and reliably.
  2. The Company will not provide a Member's personal information to a third party without the Member's consent, and matters relating to this are governed by the separately posted Privacy Policy.
  3. The Company will promptly handle complaints from Members regarding use of the Service and, where prompt resolution is not possible, will inform the Member of the reason and the expected schedule for resolution.
12

Article 12 (Obligations of Members — Account Management)

  1. A Member is responsible for managing their own ID and password and must not allow any third party to use them.
  2. A Member who becomes aware that their ID or password has been stolen or is being used by a third party must notify the Company immediately and follow the Company's instructions.
13

Article 13 (Prohibited Conduct)

A Member must not engage in any of the following.

  1. Stealing another person's identity, ID, or payment method;
  2. Exchanging, trading, brokering, or advertising the exchange of Game Chips, accounts, or items for cash or a cash equivalent;
  3. Using or distributing an abnormal program such as an auto-play program, macro, or hack;
  4. Fraudulently manipulating game outcomes, including through collusion between multiple accounts, match-fixing, or intentional losing;
  5. Using a program or feature that causes bets to be placed automatically;
  6. Transferring Game Chips between Members or inducing such a transfer;
  7. Interfering with the stable operation of the Service or infringing the intellectual property rights of the Company or a third party;
  8. Using the Service in a manner that constitutes a gambling-related offense under applicable law; or
  9. Any other conduct that violates applicable law or the Company's Operating Policy.

Chapter 4

Use of the Service

14

Article 14 (Provision and Change of the Service)

  1. The Company provides Members with game services such as Hold'em, Spin & Go, and tournaments, together with ancillary services such as the shop and membership tiers. All games are played solely with Game Chips, and no prize, award, or anything of monetary or material value is awarded based on game results.
  2. Ancillary services under Paragraph 1 that the Company provides at its discretion, without separate consideration from Members, may be changed or discontinued without prior notice, and the Company is not liable for any resulting damage to a Member except as otherwise specifically provided by applicable law.
  3. For services not falling under Paragraph 2, the Company may change all or part of the Service where there is a reasonable ground based on operational or technical necessity, and will give prior notice of any such change.
15

Article 15 (Suspension of the Service)

The Company may temporarily suspend the Service in any of the following cases. Prior notice will be given as a rule, except where this is not practicable, in which case notice may be given afterward.

  1. Maintenance, inspection, or replacement work on facilities is required;
  2. A telecommunications carrier has suspended its telecommunications service; or
  3. A force majeure event has occurred, such as a national emergency, power outage, failure of Service facilities, or a surge in usage.
16

Article 16 (Game Chips and Fair Play)

  1. Game Chips, obtained as described in Article 2(4), are virtual numerical information that may not be exchanged for cash or a cash equivalent, and may not be transferred, traded, or assigned between Members.
  2. A Member may not select a specific opponent when entering a game, except for freeroll-type games conducted solely with Game Chips that the Company grants through events and that are unrelated to any history of Paid Item purchases.
  3. A Member may not use a program or feature that causes bets to be placed automatically, and must not affect game outcomes through collusion between multiple accounts or similar conduct.
  4. The Service is subject to the web-board-game requirements under Schedule 2 of the Enforcement Decree of the Game Industry Promotion Act, and the Company implements the following user-protection measures:
    1. (1) A Member may not purchase Diamonds exceeding the monthly limit prescribed by applicable law (currently KRW 1,000,000) in any one month.
    2. (2) The amount of Game Chips that may be used in a single game is limited to the threshold prescribed by applicable law.
    3. (3) Where the Game Chips lost through gameplay in a single day reach the threshold prescribed by applicable law, gameplay is restricted for 24 hours from that point.
    4. (4) The Company may conduct identity verification of Members at least once per quarter, and use of the Service is restricted for Members who do not complete it.
    5. (5) Where these thresholds change due to amendment of applicable law, the Company will apply the amended thresholds and announce them within the Service.
  5. In addition to Paragraph 4, the Company may operate features to manage play time or usage limits where necessary for a fair game environment and the protection of users, with the specific operation of such features set out in in-Service guidance or the Operating Policy.
  6. Where a Member is found to have used the Service in violation of applicable law relating to gambling activity, the Company may permanently suspend the relevant account and forfeit any Game Chips held, and such conduct may be subject to criminal punishment for gambling-related offenses under the Game Industry Promotion Act and the Criminal Act.
17

Article 17 (Management of Postings)

  1. Where content a Member posts through a nickname, chat, or other posting within the Service (a "Posting") violates applicable law or infringes another person's rights, the person whose rights are infringed may request that the Company remove the Posting, and the Company will take necessary action in accordance with applicable law.
  2. Where the Company itself discovers a Posting that violates applicable law or the Operating Policy, it may take temporary measures without prior notice.
18

Article 18 (Ownership of Copyright and Restrictions on Use)

  1. Copyright and other intellectual property rights in the Service belong to the Company.
  2. A Member must not use information obtained through use of the Service for commercial purposes, or allow a third party to do so, by reproduction, transmission, publication, distribution, broadcast, or any other means, without the Company's prior consent.

Chapter 5

Paid Services

19

Article 19 (Purchase of Paid Items and Method of Payment)

  1. A Member may purchase Paid Items, such as Diamonds, through the in-Service shop.
  2. Payment may be made by credit card, mobile carrier billing, bank transfer, or another method the Company designates and announces within the Service, and is processed through a payment gateway ("PG") company designated by the Company.
  3. Paid purchases are available only to Members who have completed age verification under Article 7(3) or 7(4).
  4. A Member may use purchased Diamonds to obtain Game Chips, Time-Limited Items, or other content in the in-Service shop. Diamonds used to obtain Game Chips are deemed consumed at the moment of use, and the Game Chips obtained are not refundable or convertible under Article 2(4).
  5. The seller of Paid Items and the party processing payment depend on the payment channel:
    1. (1) Payments through a Korean payment gateway (PG): A2K Interactive, Inc. (주식회사 에이투케이인터랙티브).
    2. (2) Payments through Stripe: A2K Interactive Corp., an affiliate of the Company incorporated in the State of Texas, USA (1075 Wood Stream Drive, Grand Prairie, TX 75052, USA). Customers are charged immediately at checkout; there are no subscriptions or recurring charges.
    In either case the Company, as service provider, is responsible for delivering and managing Paid Items and for customer support, and the seller for each transaction is shown on the checkout screen.
20

Article 20 (Withdrawal of Subscription, etc.)

  1. A Member may withdraw a subscription within 7 days of the date a Paid Item is purchased, in accordance with Article 17 of the Act on Consumer Protection in Electronic Commerce.
  2. Notwithstanding the foregoing, withdrawal is restricted in any of the following cases.
    1. The goods have been lost or damaged due to a cause attributable to the Member;
    2. The value of the goods has been substantially diminished by the Member's use or partial consumption (for example, a Time-Limited Item such as an avatar that is automatically equipped upon purchase is deemed to have entered use at the moment of purchase);
    3. The value of the goods has been substantially diminished with the passage of time to the extent that resale would be difficult (for example, a Diamond purchase that has already been used);
    4. Provision of reproducible digital content has commenced; or
    5. Any other case prescribed by presidential decree for the protection of transactional safety.
  3. Where withdrawal is accepted, the Company will refund the payment within 3 business days of receiving the refund request, and will pay statutory default interest (15% per annum, per the Enforcement Decree of the Act on Consumer Protection in Electronic Commerce) for any delay.
  4. Use of Diamonds is tracked on a per-purchase-lot basis. Where part of a purchase lot has been used, withdrawal is restricted for the used portion, and the unused remainder is refunded in accordance with Article 22.
21

Article 21 (Validity Period and Expiration)

  1. A Time-Limited Item may be used during the validity period shown on its product page and is automatically extinguished when that period expires.
  2. A Paid Item purchased for value, such as a Diamond, may expire by prescription if unused for 5 years from the date of purchase, and the Company will notify the Member by e-mail or in-Service notice no later than 1 month before the scheduled expiration date.
  3. Freely granted Game Chips, event rewards, and free content may be subject to a separate validity period and are not eligible for a refund.
  4. Where the use agreement terminates due to withdrawal, permanent account suspension, or similar cause, any Game Chips held and freely granted content are extinguished without separate compensation, except that any unused portion of paid content may be refunded in accordance with applicable law and the following Article.
22

Article 22 (Refunds)

  1. Within the withdrawal period under Article 20, the Company will refund the full amount paid.
  2. Where a refund of unused Diamonds is requested after the withdrawal period has expired, the Company will refund, to the original payment method, the amount paid less the value of Diamonds already used (at the per-unit price at the time of purchase) and a cancellation fee (the greater of 10% of the remaining refundable amount or KRW 1,000). Refunds for payments made through Stripe are issued by A2K Interactive Corp. on the same basis.
  3. Where the use agreement is terminated for a cause attributable to the Member, the Company may determine the scope of any refund in accordance with applicable law.
23

Article 23 (Refund of Overpayments)

  1. Where an overpayment arises in connection with payment for the Service, the Company will refund it using the same method by which payment was made, and will notify the Member in advance where the same method cannot be used.
  2. Where an overpayment is caused by a reason attributable to the Company, the Company will refund the full amount; where it is caused by a reason attributable to the Member, the Company may require the Member to bear the cost of confirming the overpayment.
24

Article 24 (Restrictions on Use Related to Payment)

Where the Company suspects an irregular payment, such as unauthorized use of a payment method or payment obtained by improper means, it may withhold approval of, or cancel, the relevant payment, and may request that the Member submit materials reasonably necessary to confirm the facts.

Chapter 6

Termination and Damages

25

Article 25 (Restrictions on Use, etc.)

  1. Where a Member violates Article 13 or applicable law, the Company may, depending on the severity of the violation, issue a warning, restrict part of the Service, suspend use for a set period, or permanently suspend use. The specific conduct subject to restriction, the types and criteria of measures, and the procedures are set out in the Usage Restriction Policy separately posted by the Company under Article 5.
  2. The Company will, as a rule, give the Member an opportunity to explain before taking such action, except that where urgent measures are required in connection with gambling-related activity, the Company may act first and give notice afterward.
  3. For a Member found to have engaged in gambling-related activity, the Company will suspend every account held under the name of the person who engaged in the gambling-related activity, for as long as the Company is obligated to retain that Member's information, and will delete any Game Chips held.
  4. A Member who objects to a restriction measure may file an appeal through the customer center within 14 days of receiving notice of the measure, and the Company will notify the Member of the outcome within 14 days of receipt.
26

Article 26 (Damages)

The Company or a Member who causes damage to the other party by breaching these Terms is liable to compensate for that damage, provided that, with respect to services provided free of charge, no claim for damages may be made except as specifically provided by applicable law.

27

Article 27 (Disclaimer)

  1. The Company is released from liability where it is unable to provide the Service due to force majeure, suspension of service by a telecommunications carrier, a cause attributable to a Member, or another cause not due to the Company's willful misconduct or negligence.
  2. The Company is not liable for any gain or loss a Member expects from use of the Service, or for game outcomes.
  3. The Company has no obligation to intervene in a dispute arising between Members, or between a Member and a third party, in connection with the Service, and bears no liability for damages arising from any such dispute.
